Terms of Service

Please read these Terms carefully. By accessing or using Dispatchy (operated by Order Dispatchy, collectively “Dispatchy,” “we,” “our,” or “us”), you agree to be bound by them. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing the Dispatchy platform, or using any of its features — including the merchant dashboard, driver application, customer ordering pages, or embedded order forms — you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

If you are using Dispatchy on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Dispatchy is a software-as-a-service (SaaS) platform that provides local delivery businesses with tools for order management, driver dispatch, real-time tracking, customer-facing ordering websites, and related features. The Service is provided via web application hosted at orderdispatchy.com and its subdomains.

3. No Guarantee of Service — Use at Your Own Risk

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee that:

  • The Service will be available at any particular time or without interruption;
  • The Service will be free from errors, bugs, or security vulnerabilities;
  • Any data stored in the Service will be retained indefinitely or without loss;
  • Orders placed through the Service will be received, processed, or fulfilled;
  • Delivery tracking information will be accurate or real-time at all times;
  • Email notifications (order confirmations, status updates) will be delivered;
  • The Service will meet your specific business requirements.

You expressly acknowledge that your use of the Service, including reliance on it for business operations, customer communications, or financial transactions, is entirely at your own risk. Dispatchy is a tool to assist your operations — it is not a guarantee of business outcomes, revenue, or operational continuity.

We reserve the right to suspend, modify, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any such action.

4. Accounts and Eligibility

You must be at least 18 years old and capable of entering a legally binding contract to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, complete, and current information when creating your account, and to promptly update that information if it changes. We reserve the right to terminate accounts that contain false or misleading information.

5. Business Accounts and Merchant Responsibilities

Merchants (business account holders) are solely responsible for:

  • The accuracy of business information, menus, pricing, and hours displayed on their ordering pages;
  • Fulfilling orders placed through the Service in a timely and lawful manner;
  • Compliance with all applicable local, state, and federal laws governing their business and delivery operations;
  • Ensuring that products or services offered comply with applicable health, safety, and licensing requirements;
  • The conduct of any drivers or staff added to their account;
  • Any content uploaded to the Service, including logos, photos, and menu descriptions.

Dispatchy is not a party to any transaction between a merchant and its customers. We do not guarantee order fulfillment, product quality, or delivery performance.

6. Ordering and Delivery

The customer-facing ordering pages and embedded order forms are provided as a convenience to facilitate communication between merchants and their customers. Dispatchy does not employ drivers, operate delivery vehicles, or assume any responsibility for the physical delivery of goods.

Order accuracy, delivery timeliness, and customer satisfaction are entirely the responsibility of the merchant. Dispatchy shall have no liability for missed deliveries, incorrect orders, or disputes between merchants and their customers.

7. Payments

Dispatchy currently offers cash/manual payment workflows. Where card payment features are made available in the future, they will be processed by a third-party payment processor (Stripe) and subject to that processor's terms of service. Dispatchy does not store payment card information and is not responsible for payment processing errors or disputes.

8. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Infringe the intellectual property rights of any third party;
  • Transmit harmful, fraudulent, abusive, or deceptive content;
  • Interfere with or disrupt the Service or its infrastructure;
  • Attempt to gain unauthorized access to any part of the Service;
  • Use the Service to operate a business that competes directly with Dispatchy without prior written consent;
  • Scrape, harvest, or collect data from the Service without authorization.

9. Intellectual Property

All content, software, trademarks, logos, and other materials comprising the Dispatchy platform are owned by or licensed to Order Dispatchy and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose.

By uploading content (logos, photos, menu items) to the Service, you grant Dispatchy a non-exclusive, royalty-free license to store, display, and serve that content solely to operate the Service on your behalf. You retain ownership of your content.

10. DMCA — Copyright Infringement

Dispatchy respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on our platform infringes your copyright, please send a written notice containing: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location on our Service; (c) your contact information; (d) a statement of good faith belief; (e) a statement of accuracy under penalty of perjury; and (f) your physical or electronic signature.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DISPATCHY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL DISPATCHY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DISPATCHY IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Dispatchy and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) content you submit to the Service.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

Sections 3, 11, 12, and 14 of these Terms survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Missouri, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in St. Louis County, Missouri, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
